QLZH Holding shareholders approve AGM resolutions and revised dividend arrangements
Shareholders approve 2025 financial statements
QLZH Holding plc has announced the outcome of its Annual General Meeting, with shareholders approving a series of resolutions covering the company’s financial statements, governance arrangements and dividend framework.
The company announcement QLZ13, was published through the Malta Stock Exchange’s Officially Appointed Mechanism earlier today.
Shareholders approved the company’s audited consolidated financial statements for the financial year ended 31 December 2025 and resolved not to declare a dividend for the 2025 financial year.
Auditor and directors reappointed
Shareholders also approved the reappointment of CLA Malta as the company’s auditor.
The company’s existing directors were reappointed, while shareholders established €200,000 as the maximum annual aggregate remuneration payable to directors.
These resolutions address key governance matters for the company following completion of its 2025 reporting cycle.
Share rights and dividend policy approved
The AGM also approved amendments to QLZH Holding’s memorandum and articles of association, including changes affecting the dividend rights attached to Ordinary C shares.
Shareholders additionally approved the company’s proposed dividend policy.
The decisions are relevant to investors because they concern both the rights attached to a class of the company’s shares and the framework governing future distributions. However, approval of a dividend policy should not be interpreted as a commitment to make a particular future distribution.
The announcement also included an update pursuant to Capital Markets Rule 5.16.14.1, placing the disclosure within the company’s continuing capital-markets reporting obligations.
