Mizzi Organisation Finance says Arkadia store handover is underway
Malta Retailing transaction moves towards completion
Mizzi Organisation Finance plc has provided an update on the planned transfer of the business of Arkadia Foodstores Limited to Malta Retailing Limited, confirming that the handover of the stores involved in the transaction is underway.
The update was published on 7 August 2026 under company announcement reference 109/2026, following an earlier disclosure dated 21 July.
Remaining conditions expected to be completed shortly
Mizzi Organisation Finance said the handover of the stores by Arkadia Foodstores to Malta Retailing Limited, together with the fulfilment of all remaining conditions precedent to closing, was expected to be concluded “in the coming days”.
The original transaction involves the transfer of Arkadia Foodstores’ business to a third-party acquirer and remains subject to the satisfaction of the applicable closing conditions.
Transaction relevant to bondholders
Arkadia Foodstores is a subsidiary of Mizzi Organisation Limited, which is one of the guarantors of Mizzi Organisation Finance’s €45 million 3.65% unsecured bonds maturing between 2028 and 2031. Those bonds were issued pursuant to a prospectus dated 24 September 2021.
The connection to the bond guarantee makes developments involving Mizzi Organisation Limited and its subsidiaries potentially relevant to holders of the issuer’s securities.
The 7 August disclosure was made in terms of Chapter 5 of the Capital Markets Rules and provides a factual progress update rather than confirmation that the transaction has fully closed.
