Izola Bank Agrees Sale to Azure Financial Alongside €2.8 Million Capital Injection
Azure Financial to acquire 100% of Izola Bank
Izola Bank plc announced on 15 September 2026 that its shareholders have signed a share purchase agreement with Azure Financial Limited for the acquisition of 100% of the Bank’s issued share capital.
The transaction remains subject to the necessary regulatory approvals. The agreement follows earlier updates issued in April and August, when the Bank confirmed it was in discussions with potential investors and had subsequently received binding offers.
€2.8 million capital injection planned
As part of the agreement, Azure Financial will also inject €2.8 million in fresh capital into Izola Bank through the subscription of newly issued shares.
The capital increase is expected to take place shortly after the signing of the agreement, subject to regulatory and board approval.
Following completion of the acquisition, existing shareholder Van Marcke Group is expected to maintain an indirect interest in Izola Bank by acquiring a minority stake in Azure Financial.
Azure Financial backed by French Bricks group
Azure Financial is currently wholly owned by Groupe Bricks SAS, the French holding company behind the Bricks group.
The Group operates a regulated digital real-estate investment platform and is also involved in real-estate origination, investment and asset management, property management, retail activities and hospitality investments.
Izola Bank said the transaction remains conditional on regulatory approval and that further updates will be issued when appropriate.
