Company proposes SEK 20 payment per SEK 100

Catena Media plc has announced a voluntary tender offer to holders of its outstanding hybrid capital securities.

The announcement CAM193 was published on the Malta Stock Exchange’s OAM on 11 August 2026 at 18:04.

Under the proposed offer, participating holders would receive 20% of the nominal amount, equivalent to SEK 20 for every SEK 100 in nominal value tendered and accepted.

Unpaid interest excluded from consideration

Catena Media stated that holders participating in the offer would not receive capitalised or accrued unpaid interest in addition to the tender consideration.

The proposed payment should therefore be assessed against the nominal value of the securities and the terms of the tender offer.

Participation is voluntary, giving holders the option to tender their securities rather than requiring all investors to take part.

Tender offer affects Catena Media capital structure

The transaction is relevant to investors because hybrid securities form part of Catena Media’s broader capital structure.

A successful tender could reduce the amount of hybrid capital securities outstanding, depending on participation levels and the securities accepted by the company.

Investors considering the offer will need to assess its formal terms, including the consideration offered. Tendering securities does not necessarily guarantee their acceptance by the company.
